Investment Banking Job Characteristics
Investment bankers facilitate large, complex financing transactions. These transactions may include acquisitions, mergers or sales structures to customers. Another task of investment bankers is to issue securities as a means of raising capital. This includes creating detailed documents for the Securities and Exchange Commission (SEC) that are necessary to get the company listed.
Investment Banking Vs. Corporate Finance: What’s The Difference?
An investment banker is able to identify the risks associated with a particular project before the company moves forward, saving the client time and money. In theory, an investment banker is an expert in his own field or industry and has his finger on the pulse of the current investment climate. Businesses and nonprofits often turn to investment bankers for advice on how to plan for growth.
An investment banker also helps in determining the value of financial instruments and navigating regulatory requirements. When a company organizes an initial public offering (IPO), an investment bank acts as an intermediary and directly buys all or most of the company’s shares. In this case, the investment bank acts on behalf of the company and then sells the company’s stock to the public market, creating immediate liquidity.
The investment bank must make a profit in this scenario, usually in the valuation of its shares. Thus, the investment bank takes a large risk. While experienced analysts at an investment bank use their experience to accurately value a stock, the investment banker can lose money on the trade if the stock is overvalued.
For example, Pete’s Paint Co., a paint and equipment chain, wants to go public. Pete contacts the owner, Katerina, a well-known investment banker. Pete and Catherine enter into an agreement in which Catherine (on behalf of her company) agrees to purchase 100,000,000 shares of the company’s IPO at the company’s IPO price of $24 based on the recommendations of a group of analysts. The investment bank will pay $2.4 million for 100,000 shares.
Equity Research Jobs
After filing the necessary paperwork, such as the SEC Form S-1, and setting a date and time for the IPO, Katerina and her team begin selling shares on the open market at $26 per share. However, the investment bank cannot sell more than 20% of the shares at this price due to weak demand, forcing it to drop the price to $23 to sell the remaining holdings. This ultimately leads to the defeat of Katerina and her team.
Investment banking is popular because investment bankers are usually well paid. However, these positions require specific skills such as the ability to crunch numbers, strong verbal and written communication skills, and the ability to work long and demanding hours.
Educational requirements typically include an MBA from a top-tier institution and possibly a Chartered Financial Analyst (CFA) designation.
Investment bankers must follow their company’s established code of conduct and sign a non-disclosure agreement due to the sensitivity of the information they receive. In addition, there is a potential for a conflict of interest if the advisory and trading departments of investment banks interact.
